Role profile

 

NAMA has requested all participating institutions carry out a full review of the risk assets proposed to transfer to NAMA and to issue a due diligence report in respect of each land and development and associated loan for each of the institution’s borrowers.

Irish Nationwide Building Society now wishes to appoint a solicitor to co-ordinate and manage the preparation of the legal due diligence reports including conducting required enquiries in respect of loans and underlying security. 

  • This will entail the finalisation of the NAMA legal due diligence process and the execution of that process. 
  • It is envisaged that due diligence templates will be completed based on a combination of loan information which is internally available and security information which may be held internally or may be held by firms of solicitors that acted for the Society in respect of property securing related loans.
  • Where it is necessary to instruct legal firms, we will require assistance in the central co-ordination of this process and the ultimate completion of due diligence reports in the required format in respect of such loans.  This may extend to the full completion of these reports in situations where the original firm is unable or not required to do so.

The scope of work is expected to include non standard requisitions to cover the following enquiries:

a.        Loan and security information

·         Summary of the transaction

·         Hedging arrangements

·         Corporate capacity / authority

·         Security arrangements

·         General security registration

·         Inter-lender priority agreements

b.       Property and construction information

·         Secured property description

·         Title and registration

·         Development land matters including planning, building etc

·         General title enquiries covering compliance requirements

·         Tax matters

c.        Ancillary reporting including:

·         Title covenants

·         Lease agreements

 

 

Requirements:

 

  • A strong background in conveyancing is required. 

 

  • Admitted as a solicitor in the UK

 

  • The successful candidate will be an excellent team player with proven project management skills. 

 

  • Strong oral/written communication and time management skills, with an ability to meet deadlines are essential. 

 

 

  • The professionalism to work independently and strong initiative is also required.
